batapp Terms and Conditions

1. Definitions

For the purposes of these Terms & Conditions:

  • "batapp" or "we" or "us" means Albertec IT Solutions CC (Reg No: 2008/017765/23), the company providing the batapp Service
  • "batapp Service" or "Service" means our cloud-based fixed asset management software platform known as "batapp", including the web application, mobile applications, and all related services
  • "User" or "you" means any individual or entity that accesses or uses the batapp Service
  • "Client" means the organization or business entity that has subscribed to the batapp Service
  • "User Data" means all data, information, and content that you input, upload, or create within the batapp Service
  • "Platform Content" means all software, code, features, functionality, designs, graphics, and other materials provided by batapp as part of the Service
  • "Subscription" means your paid access to the batapp Service for a specified term
  • "Documentation" means user guides, help materials, and technical documentation provided by batapp

2. Acceptance of Terms

By accessing, downloading, or using the batapp Service, you agree to be bound by these Terms & Conditions and our Privacy Policy. If you are accepting these terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

If you do not agree to these terms, you may not access or use the batapp Service.

3. Software License Grant

3.1 Grant of License

Subject to your compliance with these Terms and payment of applicable fees, batapp grants you a limited, non-exclusive, non-transferable, revocable license during the term of your Subscription to:

  • Access and use the batapp Service for your internal business purposes
  • Use the batapp mobile applications on devices you own or control
  • Access and use the Documentation in connection with your use of the Service

3.2 License Restrictions

You may not, and may not permit others to:

  • Copy, modify, adapt, reverse engineer, decompile, or disassemble any part of the batapp Service
  • Create derivative works based on the batapp Service
  • Rent, lease, lend, sell, sublicense, or otherwise transfer rights to the batapp Service
  • Use the Service to develop competing software or services
  • Remove or alter any proprietary notices or labels on the Service
  • Access the Service to build a similar or competitive product or service
  • Use the Service for any unlawful purpose or in violation of these Terms

3.3 License Scope

Your license is limited to the number of users and features specified in your Subscription plan. You may only use the Service within the scope of your purchased Subscription.

4. Intellectual Property Rights

4.1 batapp's Intellectual Property

batapp retains all right, title, and interest in and to the batapp Service, including all software, code, features, functionality, designs, graphics, interfaces, and Documentation. This includes all intellectual property rights such as copyrights, trademarks, patents, and trade secrets.

4.2 User Data Ownership

You retain all ownership rights to your User Data. By using the batapp Service, you grant batapp a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your User Data solely for the purpose of:

  • Providing and operating the batapp Service
  • Improving and developing the batapp Service
  • Providing customer support
  • Ensuring security and preventing fraud

4.3 Feedback

If you provide feedback, suggestions, or ideas about the batapp Service, you grant batapp the right to use such feedback without restriction or compensation.

5. Subscription and Payment Terms

5.1 Subscription Plans

batapp offers various subscription plans with different features and user limits. Your access to features is determined by your selected plan.

5.2 Payment

  • Subscription fees are charged in advance on a monthly or annual basis as selected
  • All fees are exclusive of applicable taxes (including VAT)
  • Payment must be made by credit card or other accepted payment methods
  • Fees are non-refundable except as expressly stated in these Terms

5.3 Automatic Renewal

Your Subscription will automatically renew for successive periods equal to your initial Subscription term unless you cancel before the renewal date. We will notify you at least 30 days before each automatic renewal.

To cancel automatic renewal:

  • Contact our support team at support email
  • Cancellation must be completed at least 24 hours before the renewal date
  • (in near future: Log into your account and update your subscription settings)

5.4 Price Changes

We may change our pricing with 30 days' notice. Price changes will apply from your next billing cycle.

5.5 Suspension for Non-Payment

If payment fails, we may suspend your access to the Service after 10 days' notice. Your account will be terminated if payment remains outstanding for 30 days after suspension.

6. Acceptable Use

6.1 Permitted Use

You may use the batapp Service only for lawful business purposes related to fixed asset management and in accordance with these Terms.

6.2 Prohibited Uses

You may not:

  • Use the Service for any unlawful purpose or to violate any laws
  • Upload or transmit malicious code, viruses, or harmful content
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Use the Service to harass, abuse, or harm others
  • Violate any third party's intellectual property rights
  • Use automated means to access the Service except through our published APIs

7. User Accounts and Security

7.1 Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Ensuring authorized users comply with these Terms
  • Immediately notifying us of any unauthorized use

7.2 Data Accuracy

You are responsible for the accuracy and completeness of all User Data you provide to the batapp Service.

8. Service Level and Support

8.1 Service Availability

We strive to maintain 99.5% uptime for the batapp Service, excluding scheduled maintenance windows. We will provide reasonable advance notice of planned maintenance.

8.2 Support

Support is provided via:

Support hours are Monday to Friday, 8:00 AM to 5:00 PM (South African Standard Time).

9. Data Security and Privacy

9.1 Data Security

We implement appropriate technical and organizational measures to protect your User Data, including encryption and access controls.

9.2 Privacy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms.

9.3 Data Processing

We will process your User Data in accordance with applicable data protection laws, including the Protection of Personal Information Act (POPIA).

10. Disclaimers and Limitation of Liability

10.1 Service Disclaimer

IMPORTANT: THE BATAPP SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BATAPP'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

BATAPP SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION
  • DAMAGES RESULTING FROM THIRD-PARTY SERVICES OR INTEGRATIONS
  • LOSS OR CORRUPTION OF DATA (EXCEPT DUE TO OUR GROSS NEGLIGENCE)

10.3 Consumer Protection Act Notice

FOR CONSUMERS: The above limitations of liability and disclaimers are subject to the Consumer Protection Act. If you are a consumer, these limitations apply only to the extent permitted by law.

11. Indemnification

IMPORTANT NOTICE FOR CONSUMERS: This indemnification clause requires you to protect batapp from certain legal claims.

You agree to defend, indemnify, and hold harmless batapp from any claims, damages, or expenses arising from:

  • Your use of the batapp Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Data or content

12. Term and Termination

12.1 Term

These Terms remain in effect while you use the batapp Service and until terminated as described below.

12.2 Termination by You

You may terminate your Subscription at any time by contacting support (or in future: through your account settings). Termination takes effect at the end of your current billing period.

12.3 Termination by batapp

We may terminate your access immediately if you:

  • Breach these Terms materially
  • Fail to pay applicable fees after notice
  • Engage in conduct that harms batapp or other users

12.4 Effect of Termination

Upon termination:

  • Your license to use the batapp Service ends immediately
  • You have 30 days to retrieve your User Data
  • After 30 days, your User Data will be permanently deleted
  • No refunds are provided for unused subscription periods (except for termination by us without cause)

13. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes by email or prominent notice in the Service when such changes take effect.

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of South Africa.

14.2 Jurisdiction

Any disputes will be subject to the exclusive jurisdiction of the courts of South Africa.

14.3 Dispute Resolution

Before initiating legal proceedings, parties agree to attempt good faith negotiations to resolve disputes.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable Service Level Agreement, constitute the entire agreement between you and batapp.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

15.3 No Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

15.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

15.5 Force Majeure

Neither party will be liable for delays or failures in performance due to circumstances beyond their reasonable control, including natural disasters, wars, terrorist attacks, or widespread internet outages.

15.6 Survival

Provisions that by their nature should survive termination will remain in effect, including intellectual property rights, limitation of liability, and governing law.
